TERMS
1. About These Terms
These Terms & Conditions (“Terms”) govern your use of the KLUTCH Premium Experiences website and, where applicable, enquiries, requests, proposals and bookings made through us.
KLUTCH Premium Experiences (“KLUTCH”, “we”, “us” or “our”) is a trading brand of KPX Solutions Ltd, a company registered in England and Wales under company number 16568130, with its registered office at 124 City Road, London, United Kingdom, EC1V 2NX.
By using our website or submitting a request, you agree to these Terms. Additional terms may apply to a particular booking, experience, venue, event or third-party supplier and will be communicated where applicable.
2. Our Services
KLUTCH provides access to and sourcing of premium sporting, cultural, hospitality and other experiences.
Our services may include identifying suitable experiences, sourcing availability, arranging hospitality options and coordinating elements of an experience through third-party venues, event organisers, hospitality providers and other suppliers.
Submitting an enquiry or request does not constitute a confirmed booking.
3. Requests and Availability
All experiences, tickets, hospitality packages, allocations, accommodation and other services are subject to availability.
Information displayed on our website is intended to provide an indication of experiences that KLUTCH may be able to source or arrange. Displaying an experience does not guarantee current availability, allocation or pricing.
A request submitted through the website is an expression of interest only.
We will confirm availability, applicable pricing and relevant booking conditions before a booking becomes binding.
4. Proposals and Quotations
Where appropriate, KLUTCH may provide you with a proposal or quotation based on your requirements.
Unless expressly stated otherwise:
quotations are subject to availability;
prices may change before a booking is confirmed;
supplier pricing may change;
availability may be withdrawn without notice; and
a quotation does not reserve or secure an experience.
Any validity period stated in a quotation or proposal should be observed.
5. Booking Confirmation
A booking is only confirmed when KLUTCH has expressly confirmed the booking in writing and any required payment or deposit has been received in cleared funds.
Submitting an enquiry, requesting an allocation, receiving a proposal or discussing availability with us does not by itself constitute a confirmed booking.
You should not make non-refundable travel or other arrangements until the relevant experience has been confirmed.
6. Pricing
Prices may vary depending on factors including:
availability;
event or fixture;
hospitality category;
seating;
group size;
timing of the request;
supplier pricing;
additional services requested; and
applicable taxes or charges.
Where applicable, we will communicate the price and any material inclusions before confirming your booking.
Unless expressly stated otherwise, prices displayed or discussed before confirmation remain subject to availability and change.
7. Payment
Payment requirements will be communicated as part of the relevant proposal, invoice or booking confirmation.
Depending on the experience, we may require:
full payment at the time of booking;
a deposit followed by a balance payment; or
another payment schedule agreed in writing.
A booking may not be secured until the required funds have been received.
Failure to pay an amount by its stated due date may result in the relevant booking or allocation being released, subject to the applicable booking terms.
8. Cancellations and Refunds
Cancellation and refund rights may vary significantly between experiences and suppliers.
Many event tickets, hospitality packages and bespoke arrangements are purchased, reserved or committed specifically for the customer and may become non-refundable once confirmed.
Before confirmation, we will provide or identify material cancellation conditions applicable to the booking where appropriate.
If you request cancellation after confirmation, any refund or credit will be subject to:
the applicable supplier’s terms;
amounts already committed or paid on your behalf;
whether the relevant services can be cancelled or recovered; and
any applicable KLUTCH contractual terms communicated at booking.
Nothing in these Terms affects any statutory rights that cannot legally be excluded.
9. Event Changes and Cancellations
Sporting, cultural and entertainment events may be postponed, rescheduled, relocated, altered, played behind closed doors or cancelled for reasons outside KLUTCH’s control.
Event dates and times displayed on our website may therefore be provisional or subject to change.
Where an event or experience changes, we will use reasonable efforts to communicate relevant information available to us.
Any refund, replacement, rescheduling or credit available will depend on the circumstances and the terms imposed by the relevant organiser, venue or supplier, together with any rights available under applicable law.
10. Third-Party Suppliers
Some or all elements of an experience may be provided by independent third parties, including venues, event organisers, hospitality operators, accommodation providers, transport providers and other suppliers.
Those services may be subject to the supplier’s own terms and conditions.
Where relevant, you and your guests must comply with venue, organiser and supplier rules, including rules relating to admission, identification, security, dress codes, conduct and prohibited items.
KLUTCH is not responsible for acts or omissions of independent third parties to the extent permitted by law, although we will use reasonable care in providing services for which we are directly responsible.
11. Tickets and Admission
Where an experience includes event admission, tickets or credentials may be issued electronically, physically or through another delivery method specified by the relevant organiser or supplier.
Customers are responsible for ensuring that guest details supplied to us are accurate.
Admission remains subject to the rules and conditions imposed by the relevant venue, organiser or rights holder.
KLUTCH cannot guarantee admission where a customer or guest fails to comply with those requirements.
12. Client and Guest Responsibilities
You are responsible for ensuring that you and your guests:
provide accurate information where required;
hold any necessary identification or travel documentation;
comply with applicable venue and event rules;
behave appropriately;
comply with relevant laws and regulations; and
meet any age, dress code, entry or security requirements applicable to the experience.
You are responsible for making your guests aware of relevant requirements.
13. Travel and Accommodation
Where travel, accommodation, transfers or other additional arrangements form part of an experience, the precise inclusions will be stated in the relevant proposal or confirmation.
Unless expressly included, customers remain responsible for arranging their own transportation, accommodation, visas, passports, insurance and other travel requirements.
Event tickets or hospitality should not be assumed to include travel or accommodation unless expressly stated.
14. Private Sourcing
KLUTCH may accept requests for experiences or access not included within our published collection.
A Private Request does not guarantee that the requested experience, allocation or service can be sourced.
Any options subsequently presented remain subject to availability, pricing, supplier conditions and confirmation.
15. Website Information
We aim to keep information on our website accurate and useful.
However, event dates, availability, pricing, venues, hospitality arrangements and other information may change.
Unless expressly confirmed as part of a booking, website content should not be treated as a guarantee of availability or final contractual specification.
16. Intellectual Property
The KLUTCH website, branding, design, written content and other materials owned by KPX Solutions Ltd are protected by applicable intellectual property laws.
You may not reproduce, distribute, commercially exploit or use our proprietary material without prior written permission, except as permitted by law.
Third-party trademarks, event names, images and intellectual property remain the property of their respective owners.
Reference to a third-party event, venue or brand does not by itself imply an official partnership, endorsement or affiliation.
17. Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to applicable law, KLUTCH will not be responsible for losses that are not reasonably foreseeable or that arise from circumstances outside our reasonable control.
Where you are acting in the course of business, KLUTCH will not be liable for indirect or consequential losses, loss of profit, loss of revenue, loss of business or loss of opportunity, to the extent permitted by law.
Any further limitations or allocations of liability applicable to a particular booking may be set out in the relevant booking documentation.
18. Circumstances Beyond Our Control
KLUTCH will not be responsible for failure or delay caused by circumstances beyond our reasonable control.
These may include severe weather, natural disasters, epidemics or pandemics, government action, civil disturbance, industrial action, transport disruption, venue closure, event cancellation or postponement, security incidents, supplier failure or other circumstances that could not reasonably have been prevented by us.
Where such circumstances arise, we will use reasonable efforts to assist with the situation, subject to supplier terms and applicable law.
19. Privacy
Our collection and use of personal information is governed by our Privacy Policy.
By providing information to us, you acknowledge that it will be handled in accordance with that policy and applicable data protection law.
20. Changes to These Terms
We may update these Terms from time to time.
The version applicable to a particular confirmed booking will generally be the version provided or made available in connection with that booking, together with any additional booking-specific terms agreed with you.
The latest website version will display its revision date.
21. Governing Law
These Terms are governed by the laws of England and Wales.
If you are a business customer, the courts of England and Wales will have exclusive jurisdiction over disputes arising from these Terms or our services.
If you are a consumer, you may also have rights to bring proceedings in the part of the United Kingdom in which you live where applicable.
